RESORT OVERVIEW    The resort is a high end hotel resort located in the heart of the San Juan Mountains and national forests
in southwest Colorado. The resort owns 275 acres in Ouray County, Colorado, approximately 50 minutes from Telluride, 35
minutes from Telluride Regional Airport, and approximately 25 minutes from  the Montrose Regional Jet Airport. The Resort is
self sustaining and self sufficient, similar to a town in the Colorado, Rockies. The resort was designed such that none of the
facilities are visible from any non-resort property, creating complete seclusion, security and anonymity for the guests of the
resort. The resort is comprised of 47 buildings, which includes the main lodge, 18 cottages, Valhalla shooting club and Training
Center, the Wine Shaft, the wedding chapel, the equestrian center, spa/salon cottage, the fitness center, garage and
mechanics shop, housekeeping/shipping-receiving ,storage building, and Swedish sauna building. In addition to the buildings,
there are numerous outdoor activities and facilities available to the guests/members of the resort.
FINANCIAL OVERVIEW  The
resort has been open on a selective basis which has not permitted the financial performance of the resort to reach its
immense potential. Spending resources and time marketing the resort will provide the means necessary to grow the revenue.
Options to operate the resort include,  as a timeshare, standard hotel/resort, corporate retreat, a private compound or some
combination.
Awards and Recognitions  The resort has been recognized and featured by many sources. 2006 Conde' Nast
Johansens" Host Excellence Resort in the U.S.A."  Colorado Meetings and Events Magazine -"Best Team Building
Facility/Organizer" award. Selected as one of the "Top 10 Most Exclusive Private Resorts on Earth" by P.U.R.E Since the resort
has been open, it has been featured and reviewed by many sources including Premiere Hotels and Resorts, Elite Magazine,
Luxury Living, Robb Report, GQ, Executive Traveller, Beverly Hills Report and many others. The resort has been featured on
television programs including ABC's World News Tonight, Comedy Central's The Daily Show, MSNBC's  Countdown with Keith
Olberman and RTL Television. The resort was also the setting for a New York Times Best Seller by Brad Thor called, "The First
Commandment". The resort is a member of multiple exclusive organizations including Preferred Boutique Hotels, Private
Unique Retreats on Earth,, Abercrombie & Kent and Small Luxury Hotels. The resort is set in the scenic San Juan Mountains
and is bordered on 3 sides by national forests and on the 4th side by a private estate. A new road directly  linked to the highway
to Telluride has been contracted to be completed within the next 5 years.
Minimal opportunity  for new competition. Ouray
County's building code for new resorts specifically requires that any new resort will have to meet or exceed the quality of any
existing resort.  Because of the five star standards to which the resort was built,  it would be unlikely in today's or any future
markets to have conditions that would make it financially possible for a new resort to come into the area. In addition, the resort
is only utilizing 11% of the 275 The code does allow up to 25% utilization  which offers many possibilities for future expansion.
Nearby golf community developments There are two golf communities being developed currently and are no more than 3
minutes from the resort. The first is a Greg Norman designed golf course  which opened in 2007and will  when totally
completed  include several hundred homes. The other is a Jack Nicklaus designed course which when finished will have
several hundred homes as well. The resort has recently reached an agreement that will provide guests of the resort with golf
privileges at the Jack Nicklaus course. Talks are currently under way with the owners of the Greg Norman course  to provide
the resort's guests with  privileges there as well.
Security The resort is designed with privacy in mind, as such, no buildings are
visible from any non-resort property. As mentioned earlier, the facility is self-sustaining and self-sufficient. The main
conference room is hard-wired into itself, which means there can be no industrial espionage from this room while a meeting is
taking place. The security, as well as general security for the entire property, has influenced corporations such as Texas
Instruments and Cartier to hold meetings at the resort.
Opportunity to sell timeshares or fractional memberships The resort is
designed with timeshares or fractional memberships in mind. The resort currently has 18 cottages, 2,300 square feet each
that are designed to support the sale of fractional memberships. These fractional memberships are already permitted under
current Colorado statutes. It is important to note that these are non-deeded fractional memberships. The resort must remain a
single owner entity per the permits under which the resort was built and under which the Phase II permits were approved. The
fractional memberships carry an estimated value of between $90,000 and $120,000 per membership based on similar
memberships in the market. The potential value of these fractional memberships is significant. Conservatively, the
memberships could be valued between $50 million and $70 million assuming each cottage sold only between 40% and 50% of
the 50 fractional units/weeks available.
